Terms & Conditions - CoreDAO Partner Program

1. Acceptance of Terms

By accessing and participating in the CoreDAO Partner Program ("Program"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not participate in the Program.

These Terms constitute a legally binding agreement between you ("Partner," "you," or "your") and CoreDAO ("Company," "we," "us," or "our") governing your participation in the Program.

2. Eligibility

To be eligible for the Program, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have the legal capacity to enter into binding contracts
Not be located in or a resident of any jurisdiction where participation would be prohibited
Provide accurate and complete information in your application
Have an active presence on one or more social media or content platforms

We reserve the right to verify your eligibility and reject any application at our sole discretion.

3. Program Participation

3.1 Application Process

Submission of an application does not guarantee acceptance into the Program. We review all applications and select partners based on various criteria including content quality, audience engagement, and alignment with CoreDAO values.

3.2 Partner Responsibilities

As a Partner, you agree to:

Create authentic, high-quality content related to CoreDAO and the Web3 ecosystem
Disclose your partnership with CoreDAO in accordance with applicable advertising regulations
Not make false, misleading, or unsubstantiated claims about CoreDAO or its products
Comply with all applicable laws and platform terms of service
Maintain professional conduct in all communications
Not engage in any activity that could harm CoreDAO's reputation

3.3 Content Guidelines

Content created under the Program must:

Be original and not infringe on any third-party intellectual property rights
Not contain false, defamatory, or misleading information
Not promote illegal activities or violence
Comply with platform-specific guidelines and community standards
Include appropriate disclosures as required by law (e.g., #ad, #sponsored)

4. Compensation

4.1 Payment Terms

Compensation for Partners is determined on a case-by-case basis and will be communicated during the onboarding process. Payments are typically made monthly for the previous month's activities.

4.2 Payment Methods

We offer various payment methods including bank transfer and cryptocurrency. The available methods may vary based on your location and will be discussed during onboarding.

4.3 Taxes

You are solely responsible for reporting and paying all applicable taxes on compensation received through the Program. We may require tax documentation (e.g., W-9, W-8BEN) before processing payments.

5. Intellectual Property

5.1 Your Content

You retain ownership of the content you create. However, by participating in the Program, you grant CoreDAO a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content for promotional purposes.

5.2 CoreDAO Assets

CoreDAO grants you a limited, non-exclusive license to use our brand assets (logos, graphics, etc.) solely for creating Program content. This license terminates upon your exit from the Program.

6. Confidentiality

During your participation, you may receive confidential information including but not limited to unreleased product information, business strategies, and internal communications. You agree to:

Keep all confidential information strictly confidential
Not disclose confidential information without prior written consent
Use confidential information only for Program purposes
Return or destroy confidential materials upon termination

7. Term and Termination

7.1 Term

Your participation in the Program begins upon acceptance and continues until terminated by either party.

7.2 Termination

Either party may terminate participation at any time with 14 days written notice. We may terminate immediately if you breach these Terms or engage in conduct detrimental to CoreDAO.

7.3 Effects of Termination

Upon termination:

Your access to partner resources will be revoked
You must cease using CoreDAO brand assets
Pending compensation will be paid for work completed
Confidentiality obligations survive termination

8. Disclaimers and Limitations

8.1 No Guarantees

We make no guarantees regarding the Program's continuity, compensation levels, or any specific outcomes from your participation.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREDAO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM.

8.3 Indemnification

You agree to indemnify and hold harmless CoreDAO from any claims, damages, or expenses arising from your content, breach of these Terms, or violation of any rights of a third party.

9. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the partner portal. Continued participation after changes constitutes acceptance of the modified Terms.

10. General Provisions

10.1 Entire Agreement

These Terms, along with any additional agreements signed during onboarding, constitute the entire agreement between you and CoreDAO regarding the Program.

10.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

10.3 No Waiver

Failure to enforce any provision does not constitute a waiver of our rights.

10.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
